1. Agreement to Terms

By accessing or using any websites, platforms, applications, or services provided by Eco-Compliant Hub Limited (“Company”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

Eco-Compliant Hub Limited provides software platforms and digital solutions, including but not limited to:

• Waste management and tracking systems
• Point-of-sale and business management ecosystems
• Farm, poultry, and dairy management systems
• ComplianceIQ™ environmental compliance platforms
• RegDashboard™ regulatory intelligence tools
• TransformHub™ digital transformation solutions

Our services are provided as technology tools and do not constitute legal, regulatory, or professional advice unless expressly stated in writing.

3. User Accounts

3.1 Account Creation

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, complete, and up-to-date information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities conducted under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Suspension or Termination

We reserve the right to suspend or terminate your account where you violate these Terms, misuse the services, or engage in unlawful or fraudulent activities.

4. Acceptable Use

You agree not to:

• Use the services in violation of Kenyan law or applicable regulations
• Infringe intellectual property or privacy rights of others
• Attempt unauthorized access to systems or data
• Disrupt service availability or security
• Transmit malware, malicious code, or harmful content
• Misrepresent your identity or authority

5. Intellectual Property

5.1 Ownership

All software, content, trademarks, designs, and proprietary materials remain the exclusive property of Eco-Compliant Hub Limited and are protected under applicable intellectual property laws.

5.2 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the services solely for your internal business operations.

6. Fees and Payment

6.1 Fees

Certain services require payment. All fees are payable as agreed at the time of subscription or contract execution.

6.2 Billing

Fees are billed in advance and are due upon invoice issuance unless otherwise agreed in writing.

6.3 Refunds

Payments are non-refundable except where required under the Consumer Protection Act, 2012 or expressly stated in a written agreement.

7. Data Protection and Privacy

We process personal data in accordance with the Kenya Data Protection Act, 2019. Details regarding data collection, processing, storage, and user rights are provided in our Privacy Policy.

8. Service Availability

While we strive to maintain reliable service availability, we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue services for maintenance, upgrades, or operational reasons.

9. Disclaimers

To the maximum extent permitted by law, services are provided “as is” and “as available” without warranties of any kind. Nothing in these Terms excludes warranties or rights that cannot be lawfully excluded under Kenyan law.

10. Limitation of Liability

To the extent permitted by law, Eco-Compliant Hub Limited shall not be liable for indirect, incidental, special, or consequential damages, loss of profits, data, or business opportunities arising from use of the services. Liability for non-excludable consumer rights is not limited.

11. Indemnification

You agree to indemnify and hold harmless Eco-Compliant Hub Limited from claims, damages, losses, and expenses arising from your misuse of the services or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Kenya.

13. Dispute Resolution

Disputes shall be resolved by arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (Cap 49). Either party may seek interim relief from Kenyan courts where necessary.

14. Changes to These Terms

We may update these Terms periodically. Continued use of the services following changes constitutes acceptance of the revised Terms.

15. Severability

If any provision is held unenforceable, the remaining provisions shall remain in effect.
